Teacher Partner Program Terms & Code of Conduct

These Terms and Code of Conduct govern participation in the Qualificant Teacher Partner Program, including commission, payouts, and teacher-managed accounts.

The Program & Eligibility

These Terms govern the Qualificant Teacher Partner Program (“Program”), operated by Prozaim Integrated Services Ltd (“Qualificant”, “we”). By enrolling, you (“Partner”) accept these Terms, our Privacy Policy, and the Code of Conduct below.

The Program is open to teachers, tutors, and exam coaches aged 18+. Enrolment requires a Teacher account with accurate name, contact details, and payout details. We may require identity verification (KYC) before your first payout and may decline or revoke enrolment at our discretion.

Referrals & Attribution

You receive a unique referral code/link. A “Referred Learner” is a learner whose guardian (or authorised teacher, per the Teacher-Managed Accounts section below) signs up using your code/link.

Attribution is last-touch within 30 days of first click; the code entered at paid signup prevails in ties. One Partner per learner. We are not liable for attribution failures caused by disabled cookies, code misuse, or signup without the code.

Commission & Qualification

For each Referred Learner on a paid plan you earn Month 1: 15% · Month 2: 10% · Month 3: 5% of the plan price actually paid by the guardian (excluding taxes, discounts, refunds). Commission for months 2–3 accrues only while the learner remains on an active paid plan. No commission accrues after month 3, on free trials, or on your own accounts (see Anti-Fraud below).

Month-1 commission is confirmed only after the guardian’s payment clears and the 14-day refund window passes. A “Qualified Referral” (for bonuses) is a distinct Referred Learner who has paid and cleared the refund window.

Milestone Bonuses & Ambassador Tier

Lifetime Qualified Referrals: 10 → ₦10,000 · 25 → ₦30,000 · 50 → Ambassador status + ₦50,000 launch bonus.

Bonuses count monthly-plan learners only — 1-week Exam Sprint purchases are excluded from bonus counts (they still earn commission). Ambassadors receive a +5% uplift on Month-2 and Month-3 commission for new referrals while status is held, plus the benefits described in the Program materials.

Teacher-Managed Accounts

Where a parent/guardian authorises you to administer a learner’s account, you must:

  • Obtain that authorisation genuinely and verifiably — the platform’s recorded-consent flow must be completed by the actual parent/guardian.
  • Never enter false guardian details or consent on a guardian’s behalf.
  • Ensure the guardian of record and billing owner are accurately recorded.

Referral commission remains payable on accounts you administer, provided consent is validly recorded. Breach of this section is grounds for immediate termination and forfeiture.

Payouts

Monthly in arrears for cleared commission, via Paystack transfer. Minimum payout: ₦5,000 (balances below roll over). You are responsible for your own taxes; we may withhold where required by law. Payout requires completed KYC and accurate payout details.

Prohibited Conduct & Anti-Fraud

The following void commission/bonuses and may lead to termination: self-referral (referring accounts you fund or control for yourself); fake, duplicate, or incentivised sham signups; refund/chargeback farming; manipulation of attribution; misuse of the Sprint SKU to farm counts; collusion.

We use payment and device checks, velocity monitoring, and manual review; we may withhold payouts pending investigation.

Clawbacks

If a referred payment is refunded or charged back, the related commission (and any bonus credit that counted it) is fully clawed back — deducted from your balance or repayable on demand. Clawback obligations survive termination.

Suspension, Termination & Program Changes

Either party may end participation at any time. We may suspend or terminate immediately for breach of these Terms or the Code of Conduct. On termination without breach, cleared commission above the minimum threshold is paid out; unvested/unconfirmed amounts lapse. On termination for fraud or material breach, accrued amounts are forfeited to the extent permitted by law.

We may modify commission rates, bonuses, or these Terms prospectively with 14 days’ notice via your dashboard/email. Changes do not reduce commission already accrued.

Relationship, Liability & Governing Law

You are an independent Partner — not our employee, agent, or legal partner; you may not bind Qualificant. Liability is limited to amounts payable under this Program to the extent permitted by law. These Terms are governed by the laws of Nigeria.

Code of Conduct

As a Partner (and especially as an Ambassador) you agree to:

  • Tell the truth. Use only claims from the approved marketing kit. Never promise exam success, admission outcomes, or specific score gains. Never imply Qualificant is endorsed by NECO, Lagos State, GL Assessment, any exam body, or any school unless we state so in writing.
  • Respect parents’ data. Contact parents only through relationships you legitimately have. No harvesting or storing parents’/children’s data outside Qualificant’s consented flows; no purchasing contact lists; comply with applicable data-protection law (NDPA, GDPR/UK-GDPR, UAE PDPL).
  • No spam. No bulk unsolicited messaging, auto-DMs, comment spam, or posting codes on coupon/deal sites. WhatsApp broadcasts only to contacts who know you.
  • Put the child first. Recommend plans honestly suited to the learner. Never pressure families into purchases; never run learner accounts to inflate usage or results.
  • Consent is sacred. For teacher-managed accounts, real parental consent, recorded in-platform, before you operate a child’s account. When in doubt, don’t.
  • Protect the brand. No modified logos/assets, misleading domains or ad accounts impersonating Qualificant, or bidding on Qualificant brand keywords.
  • Report problems. Suspected fraud, safeguarding concerns, or data incidents → support@qualificant.co promptly.

Violations may result in warning, withheld payouts, suspension, or termination with forfeiture, at Qualificant’s reasonable discretion.
